Terms of Service

  1. 1. Introduction

    These Terms of Service ("Terms") govern your access to and use of the services provided by Automate Engineer LTD ("Company", "we", "our", "us"), a company registered in England and Wales under company number 16611725, with registered address at Office 1, Izabella House, 24-26 Regent Place, City Centre, Birmingham, B1 3NJ, United Kingdom.

    By accessing or using https://automate.engineer and our automation platform ("Platform"), you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or organisation, you represent that you have the authority to bind that entity.

    These Terms, together with our Privacy Policy, constitute the complete agreement between you and us regarding the Platform.

  2. 2. Eligibility & Accounts

    To use the Platform, you must:

    • Be at least 18 years old.
    • Be authorised to enter into binding agreements on behalf of yourself or your organisation.
    • Provide accurate, current, and complete account information.
    • Maintain the security of your account credentials and notify us immediately of any unauthorised access.

    You are responsible for all activity that occurs under your account, including activity by team members or other authorised users you grant access to.

  3. 3. Subscription & Billing

    The Platform is provided on a subscription basis. Pricing for each plan is detailed at https://automate.engineer/pricing and may include:

    • Monthly fees: Billed in advance each month.
    • Annual fees: Billed annually in advance, with savings compared to monthly billing.
    • Usage-based fees: Additional assessments beyond your plan's included allowance, billed at the per-assessment rate listed for your plan.

    Payments are processed by Polar, our Merchant of Record, who handles VAT, billing, and tax compliance on our behalf. By subscribing, you agree to Polar's terms applicable to the transaction.

    All fees are exclusive of VAT unless otherwise stated. VAT will be calculated and added at checkout based on your location.

    Subscription fees are non-refundable except where required by law or as set out in our refund policy below.

  4. 4. Refund Policy

    We offer a 14-day money-back guarantee for new subscriptions. If you are not satisfied with the Platform within 14 days of your initial subscription, you may request a full refund by contacting support@automate.engineer.

    After the 14-day period, fees are non-refundable. Cancellations take effect at the end of the current billing period; you retain access to the Platform for the duration of the period you have already paid for.

  5. 5. Plan Changes & Cancellation

    You may upgrade, downgrade, or cancel your subscription at any time through your account settings.

    • Upgrades take effect immediately, with prorated charges for the remainder of the current billing period.
    • Downgrades take effect at the end of the current billing period.
    • Cancellations take effect at the end of the current billing period. You will retain access until that period ends.

    Enterprise contracts may have separate termination terms agreed in writing.

  6. 6. Acceptable Use

    You agree not to:

    • Use the Platform for any unlawful purpose or in violation of any applicable regulations.
    • Attempt to gain unauthorised access to our systems, other users' accounts, or any data not belonging to you.
    • Reverse engineer, decompile, or attempt to extract the source code of the Platform.
    • Use the Platform to generate or distribute reports that are knowingly false, misleading, or non-compliant with relevant engineering standards or regulations.
    • Resell, redistribute, or sublicense access to the Platform without our express written consent.
    • Submit content that infringes third-party intellectual property, contains malicious code, or violates any applicable law.
    • Use the Platform to compete directly with us or to develop a competing service.

    We reserve the right to suspend or terminate accounts that violate these Acceptable Use terms.

  7. 7. Intellectual Property

    Your Content: You retain all intellectual property rights in the project data, site information, reports, and other content you submit to or generate using the Platform ("Customer Content"). We do not claim ownership of Customer Content.

    You grant us a limited, non-exclusive licence to process, store, and display your Customer Content solely as necessary to provide the Platform's services to you. We do not use Customer Content to train AI models, sell to third parties, or aggregate for resale.

    Our Platform: The Platform itself, including all software, designs, content, trademarks, and documentation, is owned by us or our licensors and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable licence to use the Platform during your subscription, subject to these Terms.

    Feedback: If you provide suggestions, ideas, or feedback about the Platform, we may use these freely without compensation or attribution.

  8. 8. Service Availability & Limitations

    We aim to provide reliable access to the Platform but do not guarantee uninterrupted availability. The Platform is provided "as is" without warranties of merchantability, fitness for a particular purpose, or non-infringement, except as required by applicable law.

    Specifically, you acknowledge that:

    • Reports and assessments generated by the Platform are tools to assist qualified engineers, not substitutes for professional judgement. You are responsible for reviewing, validating, and signing off on all outputs.
    • Third-party data sources (Ordnance Survey, DEFRA, environmental datasets) are integrated as supplied, and we do not warrant their completeness, accuracy, or fitness for any specific use.
    • Service interruptions may occur for maintenance, updates, or causes beyond our control.

    Enterprise customers may receive specific Service Level Agreements ("SLAs") as part of their contract.

  9. 9. Limitation of Liability

    To the maximum extent permitted by law, our total liability arising out of or related to these Terms or the Platform shall not exceed the fees you paid us in the 12 months preceding the event giving rise to the liability.

    We are not liable for:

    • Indirect, incidental, special, consequential, or punitive damages.
    • Loss of profits, revenue, business opportunities, or goodwill.
    • Loss or corruption of data not caused by our gross negligence.
    • Errors, omissions, or inaccuracies in reports generated by the Platform that result from inadequate review or validation by qualified engineering professionals.
    • Damages arising from your reliance on third-party data sources.

    Nothing in these Terms limits liability for death, personal injury caused by negligence, fraud, or any other liability that cannot be limited under applicable law.

  10. 10. Indemnification

    You agree to indemnify and hold harmless Automate Engineer LTD, its directors, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Platform, your Customer Content, your breach of these Terms, or your violation of applicable laws or third-party rights.

  11. 11. Suspension & Termination

    We may suspend or terminate your account at any time, with or without notice, if:

    • You breach these Terms or our Acceptable Use policy.
    • Your account is overdue on payment.
    • We are required to do so by law.
    • We reasonably believe your use poses a security or operational risk.

    Upon termination, your access to the Platform ends. Customer Content remains accessible for export for 180 days after termination, after which it is permanently deleted from our active systems and removed from backups within an additional 90 days.

    Provisions of these Terms that by their nature should survive termination (including Intellectual Property, Limitation of Liability, Indemnification, and Governing Law) will continue to apply.

  12. 12. Confidentiality

    Each party agrees to keep confidential any non-public information shared in the course of using or providing the Platform, including pricing for non-public tiers, technical implementation details, and customer or business information. This obligation continues for three years after termination of these Terms.

  13. 13. Modifications to These Terms

    We may update these Terms from time to time. Material changes will be notified to you via email or a prominent notice on the Platform at least 30 days before they take effect.

    Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms. If you do not agree to changes, you may cancel your subscription before they take effect.

  14. 14. Governing Law & Disputes

    These Terms are governed by the laws of England and Wales. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

    Before initiating formal legal proceedings, both parties agree to attempt good-faith resolution by contacting legal@automate.engineer.
